Terms of Service

Last updated 3 September 2026. Business terms for Zntrix Commerce, trials, subscriptions, and related services.

1. Contracting party and scope

Zntrix is a brand operated by Elijah Espela, an individual based in the Philippines ("Zntrix", "we", "us", or "our"). These Terms of Service govern access to and use of the Zntrix website, Zntrix Commerce, supplier workspaces, dealer portals, and related services unless a separate written agreement expressly replaces them.

Zntrix Commerce is intended only for businesses, suppliers, professionals, and persons acting for business purposes. It is not offered for personal, household, or consumer use. If you create, purchase, administer, or use a supplier workspace for an organization, you represent that you have authority to act for that organization. The organization is the "Customer" under these Terms.

Nothing in these Terms excludes any right or obligation that applicable law does not permit the parties to exclude or waive.

2. The service

Zntrix provides supplier-facing B2B software that may include private branded portals, catalogs, customer-specific pricing, dealer and sales-agent workflows, quotations, orders, inventory tools, imports, media, custom-domain features, analytics, and related workspace functionality. Features may vary by plan and may evolve over time.

Zntrix is not a marketplace, payment facilitator for dealer invoices, reseller of a supplier’s goods, or party to transactions between a supplier and its dealers or customers. The Customer remains responsible for its products, prices, taxes, warranties, fulfillment, collections, returns, customer service, and other obligations arising from those transactions.

3. Accounts, authority, and security

You must provide accurate information, maintain the confidentiality of credentials, and promptly update information that becomes inaccurate. The Customer is responsible for activity performed through accounts it authorizes unless caused by a security failure for which Zntrix is legally responsible.

The Customer controls staff roles, dealer invitations, sales-agent access, and other workspace permissions. It must promptly remove access for people who are no longer authorized and must notify support@zntrix.com if it reasonably suspects unauthorized access.

Portal addresses and custom domains must not impersonate another person or business, infringe rights, mislead users, or use names reserved by Zntrix. We may reject or reclaim a workspace slug or hostname that violates these requirements.

4. Business trials

Eligible suppliers may request a manually approved Business trial. A trial does not require a payment card, does not create a paid subscription, and does not automatically convert into a charge. We may approve, decline, limit, or revoke a trial to protect the service, prevent abuse, or enforce these Terms. Unless we agree otherwise, one trial is available per company or workspace.

An approved trial starts when Zntrix activates the workspace and lasts exactly 14 calendar days. It uses the then-current Business plan limits and features. At the exact trial expiry time, or when a trial is canceled early, the dealer-facing portal is paused with no grace period. Limited supplier-owner access may remain available for billing, reactivation, or account administration.

5. Paid subscriptions and Paddle

Paid Zntrix Commerce subscriptions are processed through Paddle, which acts as merchant of record for applicable subscription transactions. Paddle handles checkout, supported payment methods, payment processing, applicable transaction taxes, receipts, invoices, and related billing administration under its own buyer terms and policies.

Subscriptions may renew monthly or annually according to the option selected at checkout until canceled. The amount, currency, billing interval, and taxes presented at Paddle checkout control the transaction. The Customer authorizes recurring charges according to that billing schedule until cancellation takes effect.

Dealers do not pay Zntrix for access to a supplier portal. Catalog prices and payments between a supplier and its dealers or customers remain solely between those parties and are not Zntrix subscription payments.

6. Plan changes, proration, and credits

When a paid subscription is upgraded, the change may take effect immediately and Paddle may calculate a prorated amount for the remaining billing period. The billing preview or confirmation shown at the time of the change controls the amount charged and the effective date.

Where an eligible downgrade is made through Paddle or Zntrix Support, Paddle may calculate a prorated credit or other billing adjustment. Any resulting account credit is for future eligible subscription charges and is not redeemable or refundable for cash except where required by applicable law or Paddle’s mandatory rules. The billing information shown when the downgrade is confirmed controls the effective date and credit treatment.

Plan changes do not restart the voluntary first-payment refund window described in the Refund Policy.

7. Plan limits and fair use

Each plan may include limits for products, dealer or customer records, sales-agent seats, media, custom domains, features, or other resources. Unless the pricing page expressly says otherwise, a product limit counts unique product records or SKUs; multiple customer price tiers attached to the same product do not create additional product records for that limit.

We may prevent imports, uploads, invitations, or other actions that would exceed a plan limit and may require an upgrade before additional capacity becomes available. Attempts to bypass plan limits, technical restrictions, or metering are prohibited.

8. Customer data and content

As between the Customer and Zntrix, the Customer retains its rights in catalogs, prices, customer and dealer records, orders, files, media, trademarks, and other content it submits to the service ("Customer Content").

The Customer grants Zntrix and its service providers a limited, non-exclusive, worldwide right to host, copy, transmit, display, transform, back up, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, maintain, and improve the service or comply with law. This license ends when the relevant data is deleted, except for copies retained in backups or records that law permits or requires us to keep.

The Customer represents that it has all rights and lawful bases needed to provide Customer Content to Zntrix and to instruct us to process it. The Customer is responsible for the accuracy, legality, and business use of its catalogs, stock, SRP, dealer-facing prices, quotes, orders, media, and customer communications.

9. Data protection

Where Zntrix processes personal data on behalf of the Customer, the Zntrix Data Processing Addendum (DPA) is incorporated into these Terms. The Customer is generally responsible for determining the lawful purpose and means of processing dealer, customer, staff, and sales-agent data it places in its workspace and for providing notices or obtaining permissions required for its own processing.

Zntrix’s handling of personal data for its own website, account, security, support, and service-administration purposes is described in the Privacy Policy.

10. Zntrix intellectual property

Zntrix and its licensors retain all rights in the service, software, interfaces, designs, documentation, trademarks, workflows, code, and other technology supplied by Zntrix, excluding Customer Content. No ownership rights are transferred to the Customer.

Subject to these Terms and payment of applicable fees, Zntrix grants the Customer a limited, non-exclusive, non-transferable, revocable right during the subscription or authorized trial to access and use the service for its internal business operations and its authorized dealer network. The Customer may not copy, resell, sublicense, reverse engineer, or commercially exploit the service except where applicable law expressly prevents such a restriction.

If you voluntarily provide feedback or suggestions, Zntrix may use them without restriction or payment, provided we do not identify confidential Customer information as part of that use.

11. Confidentiality

Each party may receive non-public business, technical, pricing, security, or commercial information from the other that a reasonable person would understand to be confidential. The receiving party will use such information only to perform or receive the service and will protect it using reasonable care.

Confidentiality obligations do not apply to information that is publicly available without breach, was lawfully known without restriction, is received lawfully from another source, or is independently developed without use of the other party’s confidential information. A party may disclose information when legally required, and where lawful will provide reasonable notice before doing so.

12. Acceptable use

You must not use Zntrix to violate law or third-party rights; sell or facilitate unlawful goods or services; distribute malware; send unlawful or abusive communications; scrape or probe another tenant; defeat authentication, tenant isolation, rate limits, or security controls; interfere with service availability; or attempt unauthorized access to another supplier’s data, portal, customers, or systems.

You must not use automated activity that creates unreasonable load, use the service to develop or benchmark a directly competing product through unauthorized extraction, or represent that Zntrix endorses the Customer’s goods or business unless we have agreed in writing.

13. Third-party services

Zntrix relies on third-party infrastructure and may offer integrations with third-party services. Those services are governed by their own terms and availability. We are not responsible for a third-party service’s acts, omissions, outages, policy changes, or data practices except to the extent applicable law makes us responsible for our selection or use of a service provider.

If the Customer enables an integration or directs Zntrix to exchange data with a third-party service, the Customer authorizes the exchange necessary to provide that integration.

14. Availability, maintenance, and support

We aim to provide a reliable service but do not guarantee uninterrupted, error-free, or loss-free operation. We may perform maintenance, deploy security fixes, modify infrastructure, or temporarily restrict functionality when reasonably necessary. Unless a separate written Enterprise agreement states otherwise, no service-level agreement or guaranteed response time applies.

Support is provided on a commercially reasonable basis through support@zntrix.com. The Customer remains responsible for maintaining its own business records and any exports or copies it needs while the workspace is active.

15. Suspension

We may suspend or restrict access when reasonably necessary because of non-payment, an expired trial, a material breach, suspected fraud or abuse, a security incident, unlawful activity, legal process, or a risk to Zntrix, another tenant, or the public. Where practical and lawful, we will give notice and an opportunity to cure before suspension, but immediate action may be taken for urgent security, legal, or abuse risks.

Suspension does not eliminate amounts already due and does not automatically entitle the Customer to a refund.

16. Cancellation, termination, and retention

The Customer may cancel a paid subscription through the available billing flow or by contacting support@zntrix.com. Cancellation normally stops the next renewal and paid access continues until the end of the current paid billing period unless the billing confirmation states otherwise. Cancellation does not by itself create a refund for unused time.

After a trial expires or paid access effectively ends, the dealer-facing portal is paused. Zntrix currently retains active workspace data for 60 calendar days to permit eligible reactivation. There is no general right to use or export the workspace during this retention period. If the workspace is not reactivated by the end of the period, Zntrix may permanently delete or anonymize active tenant data, including portal records and media, and restoration may no longer be possible.

Encrypted backup copies may remain until normal backup rotation completes. We and our providers may retain limited billing, tax, fraud, security, dispute, and legal records for longer where reasonably necessary or legally required.

17. Refunds

The Refund Policy is incorporated into these Terms. Zntrix currently offers a voluntary 14-calendar-day refund window for the first paid subscription charge for a workspace, subject to the conditions in that policy. Renewals, unused time, credits, upgrades, downgrades, and exceptions are governed by the Refund Policy, the billing information presented by Paddle, and any mandatory legal rights.

18. Disclaimers

To the fullest extent permitted by law, the service is provided "as is" and "as available". Zntrix disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade to the extent those warranties may lawfully be disclaimed.

Zntrix does not warrant any particular sales result, dealer adoption, profit, uninterrupted availability, or error-free catalog, pricing, inventory, import, integration, or order outcome. The Customer is responsible for reviewing business-critical prices, stock, orders, and imported data before relying on them.

19. Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, or business opportunity, arising from these Terms or the service, even if advised that such loss was possible.

To the fullest extent permitted by law, Zntrix’s aggregate liability arising out of or relating to the service and these Terms will not exceed the greater of (a) the subscription fees actually paid for the affected workspace during the six months immediately preceding the event giving rise to the claim or (b) USD 100. This limitation applies in the aggregate across all theories of liability.

Nothing in these Terms limits liability to the extent a limitation is prohibited by applicable law, including liability that cannot lawfully be excluded for fraud, willful misconduct, death or personal injury, or other non-excludable obligations.

20. Customer indemnity

To the extent permitted by law, the Customer will defend, indemnify, and hold Zntrix and its operator harmless from third-party claims, damages, fines, and reasonable costs arising from Customer Content, the Customer’s products or dealer transactions, the Customer’s violation of law or third-party rights, or the Customer’s material breach of these Terms. This obligation does not apply to the extent a claim was caused by Zntrix’s own breach, unlawful conduct, or negligence for which Zntrix is legally responsible.

21. Force majeure

Neither party is responsible for delay or failure caused by events beyond its reasonable control, including major internet or cloud outages, natural disasters, war, civil disturbance, labor disruption, government action, utility failure, widespread cyberattack, or failure of critical third-party infrastructure, provided the affected party uses reasonable efforts to mitigate the impact. Payment obligations for service already provided are not excused by this section.

22. Changes to the service and these Terms

We may improve, replace, add, or remove service features and may update these Terms as the business, law, security requirements, or product changes. Material changes will be communicated through the service, account email, or another reasonable method before or when they take effect as appropriate.

Where Zntrix determines that a material Terms update requires renewed agreement, an authorized supplier owner may be required to accept the current version before continuing to administer the workspace. Changes do not retroactively alter rights or obligations that applicable law does not permit us to change.

23. Governing law and disputes

These Terms and disputes arising from them are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Before filing a claim, each party will make a good-faith effort to resolve the dispute by contacting the other party and allowing at least 30 days for discussion, unless urgent injunctive or protective relief is reasonably necessary.

Subject to any mandatory law that requires a different forum, the parties submit to the courts of competent jurisdiction in Metro Manila, Philippines. Nothing in this section prevents either party from seeking urgent relief to protect confidential information, intellectual property, security, or access to systems.

24. General terms

The Terms, Privacy Policy where applicable, Refund Policy, DPA where applicable, the pricing and checkout terms for the selected plan, and any written order form or Enterprise agreement constitute the agreement governing the relevant service. If a signed written agreement expressly conflicts with these Terms, that signed agreement controls for the conflicting subject matter.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver. The Customer may not assign these Terms without Zntrix’s consent except as part of a bona fide merger, reorganization, or sale of substantially all relevant business assets where the successor assumes the obligations. Zntrix may assign the agreement in connection with incorporation, reorganization, financing, or transfer of the Zntrix business.

Provisions that by their nature should survive termination, including payment obligations, confidentiality, intellectual property, retention, disclaimers, liability limits, indemnity, disputes, and general terms, will survive.

25. Notices and contact

Operational and legal notices from Zntrix may be delivered to the email associated with the Customer account, through the service, or through Paddle for billing matters. The Customer is responsible for maintaining a working account email.
